Tasks

Looking for a highly motivated candidate to work in a highly collaborative environment and be a valuable legal business partner.

A) Contract Management:

- Drafting and vetting contracts, negotiations, and finalization of contracts; structured contracts; contracts for projects of the company and new business models.

- Structuring contracts for critical projects and new business ventures.

- Creating contract landscapes and alignment with critical stakeholders for finalization.

- Keeping abreast of critical legal clauses in contracts such as arbitration, jurisdiction, liability, indemnity, etc., and advising the business accordingly.

- Risk evaluation of contracts and advising on mitigating measures.

- Drafting distributor agreements, supply agreements, technology license agreements, trademark license agreements, contract templates for various procurement activities, employment agreements, and HR contracts.

B) Litigation Management:

- Handling litigations (civil, criminal, consumer, arbitration, antitrust).

- Managing litigation filed against the company (civil, criminal, arbitration, consumer).

- Evaluating legal claims and strategizing the handling of litigation.

- Identifying and evaluating lawyers for engagement in handling litigation.

- Drafting and vetting written statements, counters, rejoinders, etc.

- Conducting legal research and advising lawyers on legal precedents.

- Close follow-up with lawyers until risks in litigations are adequately mitigated.

C) Legal Advisory:

- Advising business on risk analysis and risk mitigating measures; in-depth analysis of facts prior to providing legal opinions.

- Providing legal evaluation and opinions to business functions on various topics.

- Tendering flawless legal advice, considering the risk exposure to the organization.

- Advising on proactive and mitigating measures to be adhered to.

- Evaluating highly critical topics and approaching external law firms for legal advice.

- Conducting extensive research on various legal topics such as antitrust laws, arbitration laws, civil laws, labor laws, and IP laws.

D) Antitrust Compliances:

- Initiating proactive measures to sensitize business on antitrust violations.

- Reviewing contracts from an antitrust perspective and providing advisory to business on do’s and don'ts.

- Implementing identified legal projects to support the business.

- Creating processes and standards for various legal activities in the organization.

- Providing training to employees on antitrust and other critical legal issues periodically.

- Implementing corporate legal guidelines and policies in the organization.

- Adhering to various HQ-driven projects such as contract review, data protection, and antitrust.

E) Intellectual Property Rights Management:

- Protection of intellectual property rights (trademark, designs, patents, and copyright).

- Coordination with headquarters for IP protection.

- Creating local policies and guidelines for IPR protection.

- Initiating action against third parties for infringement of IP rights.

- Training employees and business functions on the protection of IP rights.

F) Implementation of HQ Corporate Guidelines:

- Ensuring compliance with corporate guidelines issued by headquarters.

G) Other Assignments:

- Reviewing contracts and templates regularly in line with changes in laws and regulations.

- Evaluating upcoming or new laws in the country and advising on compliance requirements and impacts on the organization.

- Conducting regular meetings and discussions with external lawyers and law firms on changes in law, judicial precedents, and review of pending litigations.

Qualifications

Bachelor’s or Master’s Degree in Law; working experience in an OEM or a manufacturing organization will be an added advantage.
