Senior Paralegal

As a Senior Paralegal, you will play a crucial role in assisting with venture capital financing, including due diligence, document drafting, and post-closing matters. You will manage capitalization for clients, ensuring compliance with blue sky securities laws. This role also involves maintaining corporate records, drafting minutes and resolutions, and preparing legal opinions. Seniority 4+ years of experience as a paralegal at a top-tier law firm specializing in emerging companies and VC. Work experience ECVC deal reps are ~15 per year. Experience at top-tier tech law firms focused on ECVC (see target list), with high volume of deal reps. Experience managing capitalization matters for clients Experience assisting with venture capital financing, including due diligence, drafting documents, and post-closing matters. M&A experience is a plus. Education Paralegal certification. Other Skills Experience with a time billing software (e.g., Clio). Familiarity with cap table management platforms, primarily Carta and Pulley. Experience with document management systems (Net Docs is a plus).
