Legal counsel

The role Everlab’s first dedicated legal hire. This person will own the legal function end-to-end, from day-to-day advice to high-stakes decisions, and serve as a trusted strategic partner to the executive team. There is no playbook handed to you. You write it. Scope & seniority Reports to: Executive team (C-suite level) Level: Senior individual contributor Scope: Company-wide legal coverage across all business units Team: Solo initially, with expectation to build out as the company scales What you’ll own day-to-day Provide timely, practical legal guidance across core areas: commercial contracts, employment, privacy and data protection, regulatory compliance (health tech, TGA, AHPRA where relevant), IP and trademarks, ESOP and equity, and corporate governance. Develop and own a tiered legal risk framework. Define what the business can proceed with, what requires mitigation before moving forward, and what constitutes a hard stop. Draft, review, and negotiate a broad range of agreements, including vendor, partner, customer, and employment agreements. Identify legal and regulatory risks early and translate them into clear, actionable recommendations for the executive team. Manage external counsel relationships when specialist expertise is needed. Keep costs tight and briefs sharp. Build and maintain legal processes, templates, and policies that scale with the business. Review and approve marketing and advertising material, including website copy, case studies, member stories, and competitor comparisons, for compliance with: AHPRA advertising guidelines Australian Consumer Law Health-specific restrictions on testimonials and therapeutic claims Own the company’s IP portfolio. Manage trademark filings and renewals across AU, US, UK, and other international markets, and respond to disputes and adverse examination reports. Support the equity program. Advise on ESOP structure, offer letters, vesting schedules, and trust arrangements as the team scales. Stay ahead of the regulatory landscape in health tech, flagging material changes before they become problems. What we’re looking for Admitted lawyer with a JD and strong academic record. 6–8+ years PQE, ideally with a mix of top-tier private practice and in-house experience. Hands-on experience in health tech, digital health, or other regulated industries. Proven ability to make sound legal judgments under pressure, balancing legal risk with commercial pragmatism. Comfortable operating without a team and without waiting to be directed. Clear, direct communicator who can distil complex legal issues for non-legal stakeholders. Builder’s mindset, with the ability to leverage AI and other tools to develop and own legal processes and systems across the company. The right mindset This is not a role for someone who needs structure handed to them.
