About the Role As a Transactional Tax Associate, you will be a critical architect in structuring sophisticated deals. You will move beyond high-level theory to provide actionable, tax-efficient solutions for fund formations and M&A activity. This role is designed for a practitioner who thrives on understanding how individual agreements fit into a clients broader global strategy, offering high-visibility work within a collaborative, market-leading environment. Key Responsibilities Strategic Structuring: Advise on the tax aspects of complex mergers, acquisitions, and divestitures for both public and private entities. Fund Formation & Investment: Guide private funds, portfolio companies, and alternative investment vehicles through tax-efficient formations and limited partner investments. Drafting & Negotiation: Lead the drafting and negotiation of tax provisions in principal transaction documents and operating agreements. Deal Management: Oversee tax workstreams for multi-jurisdictional transactions, ensuring all tax-related goals are aligned with the overarching deal structure. Analytical Advisory: Conduct deep-dive research into evolving tax laws to provide cutting-edge counsel on transactional tax matters and investment structures. Requirements Experience: 3–6 years of transactional tax experience within a reputable, large-market law firm. Technical Expertise: Proven track record in M&A tax and/or fund formation, including experience with alternative investment vehicles. Skills: Exceptional deal management, negotiation, and analytical capabilities; ability to work independently while maintaining strong interpersonal connections. Strategic Thinking: A demonstrated ability to comprehend how specific tax agreements integrate into a larger landscape of corporate goals.
