SUMMARY: Our client, a nationally recognized & prestigious law firm, is experiencing significant growth and is expanding their Mergers & Acquisitions team in key markets. They're seeking a Mid-level Associate to join their Mergers & Acquisitions practice in either the New York or Philadelphia offices. Interested candidates should have excellent academic credentials, experience in a law firm or similar environment and superior drafting, communication, and problem-solving skills. RESPONSIBILITIES: Draft, review, and negotiate transaction documents, such as merger agreements, disclosure schedules, shareholder agreements, and employment agreements. Lead, manage, and coordinate due diligence processes, analyzing risks and identifying legal issues. Structure, negotiate, and close domestic and cross-border M&A transactions, including asset and stock purchases, joint ventures, and leveraged buyouts. Will work closely with partners and clients throughout the full lifecycle of transactions across a variety of industries and will be expected to manage multiple matters efficiently while taking on increasing responsibility and client interaction QUALIFICATIONS: Juris Doctor (J.D.) degree from an Accredited Law School with outstanding academic credentials. Active Member of the New York or Pennsylvania Bar Association in good standing. Must have 3+ years of sophisticated business & transactional experience, with a strong emphasis on M&A, joint ventures, and other complex corporate transactions, including private equity sponsored deals, particularly in middle-markets. Must have ability to navigate complex subject matters quickly and effectively. Ability to work on fast-paced, high-stakes transactions with, at times, unpredictable hours.
