Attorney - Investment & Private Funds Management

SUMMARY We are seeking a mid-level associate with 3-5 years of large law firm experience to join our clients investment management practice. As an associate, you will be joining a renowned and well-established global law firm. The ideal candidate will have familiarity with private fund structures, laws and regulations governing private funds and managers. RESPONSIBILITIES Drafting and negotiating Limited Partnership Agreements (LPAs), Private Placement Memoranda (PPMs), and subscription agreements for various private funds. Structuring management entities, general partners, and complex GP-led secondary transactions or restructurings. Assisting institutional investors and family offices with co-investments and fund investments. Perform all other duties, tasks or projects as assigned. QUALIFICATIONS 3-5 years of large law firm Experience forming private investment funds, such as hedge funds, venture capital funds and/or private equity funds Structured & drafted documentation for upper tier management entities and bonus and carry plans Worked on secondary transactions, including GP-led restructurings Assisted with investments by institutional investors in private funds and co-investments. REQUIREMENTS JD (Juris Doctor) Degree from an Accredited Law School Active Massachusetts Bar Membership in Good Standing AM Law 100 – 200 experience preferred Must have familiarity with private fund structures, laws, and regulations governing private funds and managers.
