Associate - Corporate Outsourcing & Commercial Contracts

SUMMARY: Our client, a prestigious global law firm, seeks an associate with 1–5+ years of experience to join their Strategic Sourcing and Commercial Contacts practice. The ideal candidate will have experience advising clients on ITO and BPO outsourcing transactions and a broad base of commercial agreements, including supply agreements, logistics and distribution agreements, contract manufacturing agreements, and fund administration agreements. RESPONSIBILITIES: Draft, review, and negotiate complex, high-value commercial agreements, including outsourcing (ITO/BPO), vendor agreements, and licensing. Advise clients on sourcing transactions, technology partnerships, and vendor management. Advise on legal risks regarding data protection, intellectual property, regulatory compliance, etc. Counsel stakeholders (Procurement, Sales, IT) on contract interpretation and deal structuring. Perform additional duties, tasks or projects as assigned. REQUIREMENTS: Must have 1 – 5 years experience with a focus in technology transactions, large-scale ITO/BPO outsourcing, or commercial contracts. AM Law 100 to 200 firm Experience JD (Juris Doctor) Degree from Accredited Law School Active New York Bar Membership in Good Standing Excellent analytical & negotiation skills, Excellent communication abilities. Expertise in navigating complex IT/business agreements.
